Terms of Service

Note (remove before going live): Template covering common SaaS topics under German law. Must be reviewed by a lawyer before going live, especially on investment-advice / financial-services framing. German law remains the governing law.

§ 1 Scope, provider

(1) The provider of the SaaS application "Tradelyst" advertised at https://tradelyst.ai and provided at https://app.tradelyst.ai is [Full name / company], [address].

(2) These Terms apply to all contracts between Provider and user. Differing terms do not apply.

§ 2 Subject matter

(1) Tradelyst is a digital trading journal for systematic futures traders.

(2) Tradelyst is expressly not a financial instrument, not a securities or investment service, not investment advice, and not a financial analysis. All statistics and AI outputs serve solely for self-reflection on already-executed trades.

§ 3 Conclusion, registration

Invitation-only during beta. By registering, the user warrants that data is true and complete. Consumers must be at least 18.

§ 4 Fees, payment

Tier prices on the pricing page. Billing monthly or annually in advance. Payment via credit card or SEPA Direct Debit through Stripe Payments Europe Ltd. Founder Lifetime card-only. All prices include statutory VAT.

§ 5 Term, cancellation

Auto-renews monthly / annually unless cancelled by end of period. Cancellation any time via Stripe Customer Portal.

§ 6 Right of withdrawal for consumers

Statutory 14-day right of withdrawal (§§ 312g, 355 BGB). By activating the account and starting to use the application, the consumer expressly agrees that performance begins before the end of the withdrawal period; the right expires accordingly (§ 356(5) BGB).

§ 7 Availability

High availability targeted but not guaranteed. Maintenance outside common trading hours. Outages of third-party services (OpenAI, Stripe, Databento, Resend, hosting) do not give rise to claims for damages.

§ 8 User obligations

Keep credentials secret
Do not misuse the application
Do not infringe third-party rights
Take responsibility for the accuracy of trade data entered

§ 9 Liability

(1) Unlimited liability for intent, gross negligence, injury to life/body/health, Product Liability Act, and assumed guarantees.

(2) For slight negligence in essential contractual obligations, liability limited to foreseeable damage typical for the contract.

(3) Otherwise excluded. In particular no liability for lost profits or trading losses suffered due to displayed or AI-generated content. Tradelyst does not replace your own research, risk assessment, or advice from a regulated entity.

§ 11 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for entrepreneurs is [Provider's seat]. Severability clause for invalid provisions.
